Important Notice

Please read these Terms & Conditions carefully before purchasing, accessing or using Famli.global.

By purchasing a subscription, creating an account, clicking an acceptance button or otherwise accessing or using Famli, you confirm that you have read, understood and agree to these Terms & Conditions.

If you do not agree with these Terms & Conditions, you must not purchase or use Famli.

These Terms are intended to establish clearly the respective responsibilities of the customer, the entities responsible for Famli and Validity Group Pty Ltd, together with the limitations, exclusions and protections applying to the use of the Famli Service.

Nothing in these Terms is intended to exclude, restrict or modify any right, guarantee, remedy or protection that cannot lawfully be excluded, restricted or modified.

1. About Famli.global

1.1 Famli.global (“Famli”, “the Service”, “we”, “us” or “our”) is a digital household and family organisation service designed to assist users with matters including calendars, reminders, tasks, information management, family coordination, communications and related activities.

1.2 Famli.global is operated and provided by the relevant Famli business entity or entities (the “Famli Provider”), being Famli.global (email: info@famli.global; website: www.famli.global).

1.3 Validity Group Pty Ltd (“Validity Group” or “Validity”) is a separate Australian company that provides sales, commercial and administrative services to Famli relating to the purchase of Famli subscriptions. Validity Group may therefore assist with matters such as sales and purchase enquiries, subscriptions, billing and payment administration, and marketing. Validity Group does not provide support for the Famli platform or service.

1.4 Neither the Famli Provider nor Validity Group owns your family information, and neither uses customer information as a commercial data product. Where the Famli Provider or Validity Group handles personal information, it does so only to the extent reasonably necessary to provide or perform its services, and in accordance with the Famli Privacy Policy and applicable privacy laws.

1.4A Neither the Famli Provider nor Validity Group sells, rents, trades or commercially exploits Famli customer information.

1.4B Famli’s technology, development, hosting and other specialist services may be provided by the Famli Provider and/or independent third-party suppliers. Those arrangements may change from time to time as Famli develops.

1.4C For clarity, your subscription to Famli is for the Famli service. Your personal and family information is not a product being sold, rented or provided commercially to Validity Group or any other party.

1.4D Where these Terms refer to “Famli”, “we”, “us” or “our”, those terms may refer to the Famli Provider and, where relevant to the particular activity, Validity Group when it is performing authorised sales, subscription, billing or payment functions on behalf of Famli.

1.5 The Famli Provider may engage, replace, add or remove third-party suppliers, contractors, service providers, infrastructure providers, payment providers, technology providers, communications providers, artificial intelligence providers and other suppliers as considered appropriate for the operation, development, security, maintenance or delivery of Famli.

1.6 Nothing in these Terms requires Famli to use any particular technology, software, infrastructure, hosting environment, database, artificial intelligence system, payment provider, communications provider or other third-party service.

1.7 Famli may change, replace, upgrade, remove or introduce technologies, suppliers, systems and service providers at any time, provided that such changes do not unlawfully reduce any rights expressly provided to customers under these Terms or applicable law.

1.8 For the purposes of these Terms, the “Famli Parties” means, individually and collectively, the Famli Provider and its owners, shareholders, directors, officers, employees, contractors, consultants, advisers, agents and representatives.

1.9 For the purposes of these Terms, the “Protected Parties” means the Famli Parties, Validity Group Pty Ltd, its related bodies corporate (if any), and their respective owners, shareholders, directors, officers, employees, contractors, consultants, advisers, agents and representatives.

1.10 Where these Terms impose an obligation, limitation, exclusion, release, indemnity or protection for the benefit of a Protected Party, that provision is intended to apply to each relevant Protected Party individually and collectively, to the maximum extent permitted by law.

2. Acceptance of These Terms

2.1 These Terms form a legally binding agreement between you and the relevant Famli Provider concerning your use of Famli.

2.2 You accept these Terms by: a. purchasing a Famli subscription; b. creating or activating a Famli account; c. clicking an acceptance button or checkbox referring to these Terms; or d. accessing or using Famli after being presented with these Terms.

2.3 If you accept these Terms on behalf of another person, household, organisation or entity, you confirm that you have authority to do so.

2.4 You must be legally capable of entering into a binding agreement in the jurisdiction in which you reside.

2.5 Where a user is under the minimum legal age required to independently enter into an agreement, Famli must be used with the involvement and consent of an appropriate parent or legal guardian.

2.6 By accepting these Terms, you acknowledge that you have had an opportunity to read and understand them and agree to comply with your responsibilities under them.

3.5 Information, reminders, suggestions, automated outputs and other information generated, processed or displayed through Famli are provided as organisational assistance only.

3.6 You remain responsible for checking important information and making your own decisions.

3.7 You must not rely exclusively on Famli where an error, omission, delay or failure could reasonably result in significant injury, loss, damage or other serious consequences.

4. No Emergency or Safety Service

4.1 Famli is not an emergency service.

4.2 Famli must not be relied upon for emergency assistance, medical emergencies, personal safety, security emergencies or other urgent situations.

4.3 You must contact the appropriate emergency, medical, police, fire, security or other professional service whenever required.

4.4 Notifications, reminders, alerts, messages and communications may be delayed, interrupted, missed, incorrectly configured, unavailable or not delivered.

4.5 No Protected Party guarantees that a reminder, notification, alert, message or communication will be received, understood or acted upon.

5. Your Account

5.1 You are responsible for providing accurate and current information when creating and maintaining your account.

5.2 You are responsible for maintaining the confidentiality of your account credentials and authentication information.

5.3 You are responsible for activity conducted through your account except to the extent that applicable law provides otherwise.

5.4 You must promptly notify Famli if you believe your account has been accessed without permission.

5.5 You must take reasonable steps to protect your password, authentication information, device, email account and other access credentials.

5.6 You must not knowingly permit unauthorised access to your account.

6. Family and Household Information

6.1 Famli allows users to organise and share information concerning family members, household members and other authorised persons.

6.2 You are responsible for ensuring that you have appropriate authority, consent or other lawful basis to enter, upload, share or otherwise process information concerning another person.

6.3 You must not knowingly enter or upload another person’s sensitive, confidential or private information without appropriate authority or lawful basis.

6.4 Where you provide another person with access to your Famli account, household or information, you are responsible for understanding and managing the access you provide.

6.5 You must not use Famli to store or share information that you do not have the legal right or authority to store or share.

7. Children and Minors

7.1 Famli may provide functionality allowing households to organise information relating to children.

7.2 Parents and guardians are responsible for determining what information is appropriate to enter into Famli and what access should be provided.

7.3 Famli is not a substitute for parental supervision.

7.4 Parents and guardians remain responsible for decisions concerning the health, welfare, safety, education and supervision of children.

8. Information Accuracy and User Decisions

8.1 Famli is designed to assist with organisation and information management and does not guarantee that information will always be complete, current, accurate, available or error-free.

8.2 Information may be affected by user input, third-party services, technical limitations, software or system errors, connectivity, outages, automated processing or circumstances outside the reasonable control of the Famli Parties.

8.3 You are responsible for checking information that is important to you before relying upon it.

8.4 To the maximum extent permitted by law, no Protected Party is responsible for decisions made by you or another person based solely or primarily on information provided through Famli.

9. Privacy and Personal Information

9.1 Famli’s handling of personal information is described in the Famli Privacy Policy, which forms part of these Terms.

9.2 Famli is committed to treating customer information responsibly and transparently.

9.3 Famli’s business model is based on membership subscriptions and is not based on selling, renting or trading customer personal information as a commercial data product.

9.4 Famli does not intend to use customer personal information for unrelated advertising or data monetisation purposes.

9.5 The Privacy Policy explains the categories of information collected, why information is collected, how information may be used and processed, and the circumstances in which information may be disclosed.

9.6 You acknowledge that no internet-connected or digital service can guarantee absolute security.

9.7 The Famli Parties will take such measures as are required by applicable law and are considered reasonable in the circumstances to protect information within their respective responsibilities.

9.8 Famli may rely upon third-party suppliers to provide hosting, storage, processing, communications, payment, security, artificial intelligence, infrastructure and other services.

9.9 Where a third-party supplier is responsible for a particular system, service, infrastructure component, security control, processing activity or data environment, the relevant supplier remains responsible for its contractual and legal obligations concerning that service or environment.

9.10 To the maximum extent permitted by law, the Famli Parties are not responsible for any loss, damage, unauthorised access, disclosure, corruption, destruction or compromise arising solely from a failure, breach, attack, negligence, misconduct or other act or omission of a third-party supplier outside the reasonable control of the Famli Parties.

9.11 The Famli Provider may pursue contractual, legal or other remedies against a third-party supplier where appropriate.

9.12 Nothing in these Terms excludes or limits any privacy, data protection, security or mandatory notification obligation that cannot lawfully be excluded or limited.

10. Third-Party Services and Suppliers

10.1 Famli may depend upon third-party suppliers for aspects of the Service.

10.2 Suppliers may include providers of infrastructure, hosting, storage, payment processing, communications, identity services, artificial intelligence, automated processing, analytics, security, email, telecommunications or other services.

10.3 Famli is not required to identify individual suppliers in these Terms and may change suppliers from time to time.

10.4 Third-party suppliers operate independently and may have their own terms, privacy policies, security arrangements, service limitations and legal obligations.

10.5 Third-party suppliers may experience interruptions, outages, technical failures, cyber incidents, security incidents, data loss, changes in functionality, service withdrawal or other events outside the reasonable control of the Famli Parties.

10.6 To the maximum extent permitted by law, no Protected Party accepts responsibility for the acts or omissions of an independent third-party supplier except to the extent that liability cannot lawfully be excluded.

10.7 The use of a third-party supplier does not create any direct contractual relationship between you and that supplier through these Terms.

10.8 You acknowledge that changes to suppliers may occur as part of ordinary technology, security, commercial or operational development.

11. Security

11.1 Famli is intended to incorporate reasonable security measures appropriate to the nature of the Service.

11.2 However, no digital service, internet connection, system, device, software or supplier can guarantee complete protection against every security threat.

11.3 Security incidents may include unauthorised access, hacking, cyberattack, malware, phishing, credential compromise, data corruption, accidental disclosure, theft, system failure or other events.

11.4 To the maximum extent permitted by law, no Protected Party is liable for a security incident caused by or arising from: a. a third-party supplier; b. a telecommunications or internet provider; c. a user’s device; d. a user’s credentials or authentication information; e. a user’s failure to maintain appropriate security; f. malicious third-party activity; g. circumstances outside the reasonable control of the relevant Protected Party; or h. any combination of these matters.

11.5 Nothing in this section limits any obligation that cannot lawfully be excluded, including any applicable mandatory privacy or data breach obligations.

12. Email and Automated Processing

12.1 Famli may provide functionality allowing users to submit information, documents or other material through email or other communication methods.

12.2 Information submitted to Famli may be processed automatically or manually for the purpose of providing the Service.

12.3 Automated processing may involve categorisation, extraction, organisation, interpretation or other processing.

12.4 Automated processing may occasionally produce inaccurate, incomplete or inappropriate results.

12.5 You remain responsible for checking important information and documents.

13. Data Separation

13.1 Famli is designed to maintain appropriate separation between individual household accounts, workspaces or other customer environments.

13.2 Users in different accounts or environments are not intended to have access to one another’s information except where access has been expressly authorised or is otherwise permitted by the Service.

13.3 Access permissions and user roles may determine what information individual users can access.

14. Data Retention and Deletion

14.1 Data may be retained for periods reasonably necessary to provide the Service, maintain security, resolve disputes, comply with law, prevent fraud, maintain business records or for other lawful purposes.

14.2 Deleted information may not necessarily be immediately or permanently deleted from all systems or backups.

14.3 The timing and method of deletion may depend upon the relevant system, service provider, legal requirements and operational requirements.

14.4 Information may be retained where required or permitted by law.

14.5 Nothing in this section overrides the rights described in the Famli Privacy Policy or rights that cannot lawfully be excluded.

15. Your Responsibility for Backups

15.1 Famli is not intended to be your sole or permanent repository for critical information.

15.2 You are responsible for maintaining independent copies or backups of information that is important to you.

15.3 You should retain original copies of important documents, identification documents, financial records, medical information and other critical information outside Famli.

15.4 To the maximum extent permitted by law, no Protected Party is responsible for loss of information where you have failed to maintain an appropriate independent copy or backup.

16. Service Availability

16.1 Reasonable efforts may be made to maintain Famli availability, but uninterrupted or continuous availability is not guaranteed.

16.2 Famli may be unavailable because of maintenance, upgrades, technical faults, infrastructure issues, telecommunications failures, third-party service interruptions, security incidents, cyber incidents or circumstances beyond reasonable control.

16.3 Famli may temporarily suspend access where reasonably necessary to protect customers, data, systems, infrastructure or the Service.

16.4 No Protected Party guarantees that Famli will always be available, operate without interruption or remain compatible with every device, operating system, browser or network.

17. Changes to the Service

17.1 Famli is an evolving service.

17.2 Features may be added, modified, improved, replaced, suspended or discontinued from time to time.

17.3 Changes may arise from technological development, security requirements, legal requirements, customer feedback, operational requirements or commercial considerations.

17.4 Famli is not committed to maintaining any particular feature, functionality, supplier or technical method indefinitely.

18. Mobile Devices and Internet Access

18.1 You are responsible for obtaining and maintaining the device, operating system, internet connection and other equipment required to use Famli.

18.2 Mobile data, telecommunications and other third-party charges are your responsibility.

18.3 Famli does not guarantee compatibility with every device, operating system, browser or network.

19. Subscription and Membership

19.1 Famli is provided through a paid membership subscription unless a promotional, beta, trial or other arrangement applies.

19.2 The applicable subscription price will be displayed before purchase.

19.3 Prices may vary by market, currency, promotion or subscription arrangement.

19.4 Unless otherwise stated, subscriptions are recurring and continue until cancelled.

19.5 You authorise the applicable payment provider to process subscription payments in accordance with your selected subscription.

19.6 You are responsible for ensuring that your payment information remains current and valid.

20. Renewal and Non-Payment

20.1 Automatic renewal and failed payments are dealt with in section 21 (Cancellation and Unsubscription).

21. Cancellation and Unsubscription

You may cancel your Famli subscription at any time.

Cancellation may be made through the account or subscription management process made available by Famli, or by contacting Famli or Validity Group using the contact details provided on the Famli website.

21.1 Effect of Cancellation — Unless otherwise required by applicable law, cancellation will stop the subscription from renewing at the end of the current paid subscription period. You will normally retain access to Famli until the end of that period. Cancellation does not automatically entitle you to a refund of amounts already paid for the current subscription period, except where a refund is required by applicable law or expressly provided by Famli.

21.2 Automatic Renewal — Where a subscription is set to automatically renew, it will continue to renew for successive subscription periods unless you cancel before the next renewal date. Famli may provide renewal reminders before a subscription renews. However, failure to receive a reminder does not prevent a subscription from renewing where automatic renewal has been authorised by you, except where applicable law provides otherwise.

21.3 Failed Payments — If a scheduled subscription payment cannot be processed, Famli may provide a reasonable period for the payment to be corrected or completed. If payment remains outstanding after that period, Famli may suspend or terminate access to the subscription. Any outstanding amount may remain payable to the extent permitted by law.

21.4 Unsubscribing from Marketing Communications — You may unsubscribe from non-essential marketing or promotional communications at any time by using the unsubscribe facility provided in the communication or by contacting us. Unsubscribing from marketing communications does not cancel your Famli subscription. We may continue to send essential service-related communications, including information concerning your account, subscription, payments, security, changes to the service, legal notices or other matters necessary to provide or administer Famli.

21.5 After Cancellation — Following cancellation or termination, Famli may retain certain information for as long as reasonably necessary to: comply with legal, regulatory or accounting obligations; resolve disputes or enforce agreements; prevent fraud, misuse or security incidents; maintain appropriate business records; or otherwise comply with applicable law. Where applicable, information that is no longer required for these purposes will be deleted, anonymised or otherwise handled in accordance with the Famli Privacy Policy and applicable law. You are responsible for exporting or retaining any information you wish to keep before your access to Famli ends.

21.6 Rejoining Famli — If you cancel your subscription and later wish to use Famli again, you may be required to establish or reactivate a subscription under the pricing, terms and conditions applying at that time.

21.7 Consumer Rights — Nothing in this section limits or excludes any right to cancel, terminate, obtain a refund or receive a remedy that cannot lawfully be excluded or limited under applicable consumer protection or other mandatory laws.

21A. Gift Subscriptions

21A.1 A Famli gift subscription gives the recipient 12 months of access to Famli for one family, starting on the day the gift code is redeemed.

21A.2 Gifts are paid for in full at the time of purchase, at the annual price in the purchaser’s currency, and include any applicable taxes.

21A.6 A gift subscription does not renew automatically. Before it ends, we’ll let the recipient know and invite them to subscribe. No payment is taken unless the recipient chooses to subscribe.

21A.7 The purchaser is responsible for entering the recipient’s details correctly. Famli is not responsible for gifts sent to an incorrect email address.

21A.8 Gift subscriptions are available only in the countries where Famli is offered. Recipients must accept these Terms and Conditions when redeeming a gift.

21A.9 Use of Famli under a gift subscription is subject to these Terms and Conditions and our Privacy Policy.

22. Fees, Pricing and Taxes

22.1 Subscription prices will be displayed before purchase.

22.2 Prices may vary between markets and currencies.

22.3 Prices include GST, VAT or other applicable taxes where required.

22.4 Payment processing, banking and other transaction costs may be incorporated into the advertised subscription price unless otherwise stated.

23. Refunds and Consumer Rights

23.1 Refunds will be considered in accordance with these Terms, the circumstances of the purchase and applicable law.

23.2 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right, remedy or protection that cannot lawfully be excluded.

23.3 Where applicable law provides a customer with a remedy, that remedy remains available.

23.4 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled: to cancel your service contract with us; and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage.

24. Intellectual Property

24.1 Famli, including its branding, design, content, graphics, text, functionality, software and associated intellectual property, is protected by applicable intellectual property laws.

24.2 Except for content owned by the customer, Famli intellectual property is owned by, licensed to or otherwise lawfully used by the relevant rights holder.

24.3 Your subscription provides a limited, personal, non-exclusive, non-transferable right to use Famli for its intended purpose during an active subscription.

24.4 You must not copy, commercially exploit, reverse engineer, modify, interfere with, reproduce proprietary materials from or use Famli to develop a competing service.

25. Your Content

25.1 You retain ownership of information and content that you lawfully provide to Famli.

25.2 You grant the Famli Provider the limited rights reasonably necessary to store, process, transmit, display and otherwise handle that information for the purpose of providing the Service.

25.3 You represent that you have the necessary rights, permissions and authority to provide information or content uploaded to Famli.

25.4 You must not upload or transmit content that is unlawful, defamatory, abusive, threatening, infringing, malicious or otherwise prohibited by these Terms.

26. Acceptable Use

You must not use Famli: a. for unlawful purposes; b. to harm, threaten, harass or impersonate another person; c. to transmit malicious software; d. to obtain unauthorised access to Famli or another user’s account; e. to interfere with the operation or security of Famli; f. to circumvent security measures; g. to reverse engineer the Service; h. to infringe another person’s intellectual property or privacy rights; i. for fraudulent activity; j. to facilitate criminal activity; or k. in any manner that could reasonably damage Famli, its users or its systems.

27. Artificial Intelligence and Automated Features

27.1 Certain Famli functionality may use artificial intelligence, automation, machine learning or other automated technologies.

27.2 The technologies used by Famli may change from time to time.

27.3 Automated outputs may occasionally be inaccurate, incomplete, inappropriate, unavailable or delayed.

27.4 You should independently verify information where accuracy is important.

27.5 AI-generated or automated information must not be treated as professional medical, legal, financial, tax, emergency or other professional advice.

27.6 Famli does not guarantee that automated functionality will always produce correct or suitable results.

28. Beta and Early-Access Features

28.1 Famli may make beta, test, trial or early-access functionality available from time to time.

28.2 Beta functionality may contain errors, limitations or incomplete features.

28.3 Functionality may change during development.

28.4 Feedback provided by beta users may be used to improve Famli.

28.5 Beta or early-access participation does not create an entitlement to permanent availability of any particular feature.

29. Suspension and Termination

Famli may suspend or terminate access where reasonably necessary, including where: a. payment remains overdue; b. these Terms have been materially breached; c. an account presents a security risk; d. the Service is being misused; e. continued access may harm other users or the Service; f. required by law; g. a third-party supplier or service becomes unavailable; h. Famli is discontinued; or i. continued operation of an account is not reasonably practicable. Where reasonably practicable, notice will be provided before termination unless immediate action is required.

30. Data Following Cancellation or Termination

30.1 Following cancellation or termination, access may cease at the end of the applicable subscription period.

30.2 Data may be retained for periods required or permitted by law, legitimate business requirements, dispute resolution, security, fraud prevention or other lawful purposes.

30.3 Subject to applicable law and the Privacy Policy, information may subsequently be deleted or anonymised.

30.4 Customers are responsible for obtaining copies of information they wish to retain before termination.

31. Limitation of Liability

31.1 To the maximum extent permitted by law, Famli is provided as a technology and organisational assistance service and no Protected Party accepts liability for any indirect, incidental, special, consequential or exemplary loss.

31.2 This includes, without limitation, loss of income, revenue, profits, business opportunities, anticipated savings, reputation, goodwill, data, information or business interruption.

31.3 To the maximum extent permitted by law, no Protected Party is responsible for loss or damage arising from or connected with: a. interruption or unavailability of Famli; b. loss, corruption or deletion of data; c. unauthorised access or security incidents; d. third-party cyberattacks; e. failures, acts or omissions of third-party suppliers; f. reliance on information or automated outputs; g. user error; h. failure to maintain independent backups; i. internet or telecommunications failures; j. malware or malicious activity; k. device failure; l. changes to third-party services; m. suspension or termination of the Service; n. changes to features or functionality; or o. circumstances beyond reasonable control.

31.4 Subject always to any liability that cannot lawfully be excluded or limited, the aggregate liability of all Protected Parties collectively arising from or relating to a customer’s use of Famli will not exceed the amount actually paid by that customer for one month’s Famli subscription immediately preceding the event giving rise to the claim.

31.5 The limitation in clause 31.4 applies to all claims, losses and liabilities arising from or relating to Famli, whether based in contract, tort, negligence, statute, equity, restitution or otherwise, to the maximum extent permitted by law.

31.6 A customer may not recover the same loss more than once from different Protected Parties.

31.7 Where a customer has made no subscription payment in the relevant period, the maximum liability will, to the maximum extent permitted by law, be limited to the amount of the subscription that would ordinarily have been payable for one month immediately before the event giving rise to the claim.

31.8 Nothing in these Terms excludes, restricts or modifies liability that cannot lawfully be excluded, restricted or modified.

32. Validity Group Pty Ltd

32.1 Validity Group Pty Ltd acts primarily as a sales, commercial and administrative agent for Famli unless expressly agreed otherwise in writing.

32.2 Validity does not, merely by acting as sales agent or otherwise assisting with Famli, become the developer, technology provider, infrastructure provider or operator of the underlying Famli technology.

32.3 To the maximum extent permitted by law, Validity accepts no responsibility for the technical operation, availability, performance, functionality, security, accuracy or delivery of the underlying Famli Service.

32.4 Where a matter concerns the underlying Famli Service, responsibility rests with the relevant Famli Provider and/or applicable third-party supplier, subject always to applicable law.

32.5 Validity may provide marketing, sales, subscription administration, payment administration or purchase-related customer liaison services without assuming responsibility for the underlying technology.

32.6 To the maximum extent permitted by law, any liability that may lawfully attach to Validity in connection with Famli is subject to all exclusions, limitations, releases, indemnities and protections contained in these Terms.

32.7 Nothing in this section excludes any liability that cannot lawfully be excluded.

33. Protection of Owners, Directors, Officers, Shareholders and Personnel

33.1 Famli is not provided by the individual directors, shareholders, owners, officers, employees, contractors, consultants, advisers or agents of the Famli Provider or Validity in their personal capacities.

33.2 No individual Protected Party gives any personal guarantee, warranty, representation or undertaking in relation to Famli.

33.3 To the maximum extent permitted by law, no individual Protected Party accepts personal liability to a customer solely because of that person’s ownership, shareholding, directorship, employment, office, consultancy, advisory role, agency relationship or involvement with Famli or Validity.

33.4 Any claim relating to Famli must, to the maximum extent permitted by law, be brought against the appropriate contracting entity and not against an individual Protected Party.

33.5 To the maximum extent permitted by law, you release each individual Protected Party from any personal claim arising solely from that person’s role or involvement with Famli or Validity.

33.6 The protections in this section apply to current and former directors, shareholders, owners, officers, employees, contractors, consultants, advisers, agents and representatives.

33.7 These protections are intended to operate for the benefit of each Protected Party individually and may be relied upon by each Protected Party.

33.8 Nothing in this section excludes liability that applicable law expressly imposes personally and that cannot lawfully be excluded.

34. Customer Responsibility and Indemnity

34.1 You acknowledge and accept responsibility for your use of Famli and for information and content you enter, upload, transmit or share.

34.2 You are responsible for ensuring that your use of Famli complies with applicable law and that you have appropriate authority to use, store and share information entered into the Service.

34.3 To the maximum extent permitted by law, you agree to indemnify and hold harmless each Protected Party against claims, losses, liabilities, damages, costs and reasonable legal expenses arising from or connected with: a. your breach of these Terms; b. unlawful use of Famli; c. misuse of the Service; d. violation of another person’s rights; e. information supplied without appropriate authority; f. intellectual property infringement; g. negligent, fraudulent or unlawful conduct by you; h. unauthorised access resulting from your acts or omissions; or i. any claim made by another person arising from your use of Famli or information you supplied.

34.4 This indemnity does not apply to the extent that applicable law prevents recovery or to the extent that the relevant loss was caused by the negligence, wilful misconduct or other conduct of the Protected Party seeking the indemnity.

35. Events Beyond Our Control

No Protected Party is responsible for delay, interruption or failure caused by circumstances beyond the reasonable control of the relevant Protected Party, including: natural disasters; war; terrorism; civil unrest; government action; telecommunications failure; internet disruption; cyberattack; infrastructure failure; power failure; third-party provider failure; labour disruption; pandemic or epidemic; changes in law or regulation; or other circumstances outside reasonable control.

36.3 Reasonable efforts will be made to investigate and respond to genuine customer complaints.

36.4 Nothing in this process limits any statutory rights available to a customer.

37. Changes to These Terms

37.1 These Terms may be updated from time to time.

37.2 Changes may be made to reflect changes in law, the Service, features, security requirements, suppliers, business operations or clarification of existing provisions.

37.3 Where changes are material, reasonable steps will be taken to notify affected customers where required by law.

37.4 Continued use of Famli after the effective date of updated Terms constitutes acceptance of the updated Terms, subject to any rights that cannot lawfully be excluded.

38. Privacy Policy

38.1 The Famli Privacy Policy forms part of these Terms.

38.2 Customers should read the Privacy Policy carefully before using Famli.

38.3 The Privacy Policy explains how personal information is collected, used, stored, protected and otherwise handled.

38.4 If there is an inconsistency concerning privacy matters, the Privacy Policy will apply to the extent necessary to address that privacy matter.

39. Marketing Communications

39.1 Famli may send service-related communications necessary to operate an account and provide the Service.

39.2 Where permitted by law, Famli may also send information about new features, offers or related services.

39.3 You may unsubscribe from marketing communications as set out in section 21.4. Unsubscribing will not prevent essential service, payment, security or legal communications.
